Job Description

Background and Experience:

7-12+ years of experience practicing as employment counsel .

Proven experience in advising on integration strategies in M&A transactions including pre transaction due diligence and guidance on employment law aspects of the transaction, post transaction integration, employee classifications, and employee transfers and support on templates and communications with HR related to the integration.
In-house experience preferably in a large tech company with M&A activity.
Strong understanding of federal, state, and local employment laws and regulations.
Excellent analytical, negotiation, and communication skills.
Ability to work collaboratively in a fast-paced environment with cross-functional teams.
Strong business acumen and the ability to align legal strategies with business goals.

Role Responsibilities:

Provide ongoing legal support during the pre-signing due diligence phase as needed, the post-merger integration phase, including advising on restructuring, benefits, redundancies, and harmonization of employment terms and conditions.
Collaborate with cross-functional teams, including HR, Finance, and Operations, to develop and implement integration strategies that align with legal requirements and company objectives.
Identify potential employment law risks associated with M&A transactions and advise on mitigation strategies, including issues related to employee transfers, layoffs, and compliance with labor laws.
Ensure compliance with federal, state, and local employment laws and regulations throughout the M&A process, including wage and hour laws, anti-discrimination laws, and other applicable legal requirements.
Assist with any other tasks required to support the employment law team in a specific M&A transaction.
